1. Acceptance of Terms

By accessing or using R2 Upload (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

R2 Upload provides a file upload and storage service that allows you to:

• Upload files directly via API
• Upload files from remote URLs
• Connect your own S3-compatible storage (BYOB)
• Generate secure download URLs for file access
• Manage files through our dashboard and API

3. Account Registration

To use certain features of the Service, you must:

• Create an account with accurate information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Be at least 13 years old (or the minimum age in your jurisdiction)

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree NOT to use the Service to:

• Upload, store, or distribute illegal content
• Violate any intellectual property rights
• Distribute malware, viruses, or harmful code
• Store or transmit child sexual abuse material (CSAM)
• Harass, threaten, or harm others
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to our systems
• Use the service for cryptocurrency mining
• Resell the service without authorization
• Circumvent usage limits or quotas

We reserve the right to terminate accounts that violate these terms without notice or refund.

5. Content Ownership

Your Content: You retain all rights to the files you upload. By using our service, you grant us a limited license to store, process, and transmit your content solely to provide the Service.

Our Content: The Service, including its design, code, and documentation, is owned by R2 Upload and protected by intellectual property laws.

6. Pricing and Payment

Free Tier: We offer a free tier with limited usage. Free accounts may be subject to additional restrictions.

Paid Plans: Paid subscriptions are billed monthly or annually in advance. Prices are subject to change with 30 days notice.

Refunds:We offer refunds within 14 days of purchase for annual plans if you haven't used more than 10% of your quota. Monthly plans are non-refundable.

Overages: If you exceed your plan limits, you may be charged overage fees or your service may be restricted until the next billing cycle.

7. Service Level

We strive for 99.9% uptime but do not guarantee uninterrupted service. The Service is provided “as is” without warranties of any kind.

For paid plans, service credits may be available for extended outages. See our SLA documentation for details.

8. Data and Backups

Your Responsibility: You are responsible for maintaining backups of your data. While we take reasonable precautions, we are not liable for data loss.

BYOB Storage: If you use your own storage (BYOB), you are responsible for the security and availability of that storage.

9. API Usage

API access is subject to rate limits based on your plan. You agree not to:

• Exceed your rate limits systematically
• Share API keys publicly
• Use automated systems to circumvent limits
• Make API calls that could harm our infrastructure

10. Termination

By You: You may cancel your account at any time through the dashboard. Your data will be deleted within 30 days.

By Us: We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Extended inactivity (free accounts only)
• At our discretion with 30 days notice

Upon termination, your right to use the Service ceases immediately.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, R2 UPLOAD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Service interruptions or data breaches
• Third-party content or actions

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless R2 Upload from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Dispute Resolution

Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

For EU residents, this does not affect your statutory rights under consumer protection laws.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes constitutes acceptance.

15. Miscellaneous

• Governing Law: These Terms are governed by the laws of [Your Jurisdiction].
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Entire Agreement: These Terms constitute the entire agreement between you and R2 Upload.
• No Waiver: Failure to enforce any right does not constitute a waiver.
